License Agreement

Subject to your compliance with this Agreement, Spencer Brook Strings grants you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use our website at spencerbrookstrings.com/
• Submit rental applications through our online forms
• Use our customer management system and portal
• Access your account information and rental history
• Communicate with us through our digital platforms
• Use any mobile applications we may provide

You may use the Service only for:

Personal and Legitimate Business Purposes:

• Applying for instrument rentals
• Managing your rental agreements
• Making payments and viewing billing information
• Communicating regarding our services
• Accessing educational resources and information

Compliance with Laws:

• All applicable local, state, federal, and international laws
• Our rental terms and conditions
• This Agreement and our Privacy Policy

You may NOT:

System Abuse:

• Attempt to gain unauthorized access to our systems
• Use automated tools, bots, or scrapers to access the Service
• Overload our servers or interfere with Service operation
• Attempt to reverse engineer, decompile, or hack our software
• Access data not intended for you or bypass security measures

Misuse of Information:

• Use the Service to transmit harmful, illegal, or inappropriate content
• Submit false or misleading information in applications
• Impersonate another person or entity
• Violate the privacy rights of others
• Use our contact information for unauthorized marketing

Commercial Restrictions:

• Resell, redistribute, or sublicense access to the Service
• Use the Service to compete with our business
• Extract our data for commercial purposes
• Create derivative works based on our platform

Account Security:

• You are responsible for maintaining the confidentiality of your login credentials
• You must notify us immediately of any unauthorized use of your account
• You are liable for all activities that occur under your account
• We may suspend or terminate accounts that violate this Agreement

Accurate Information:

• You must provide accurate, current, and complete information
• You must update your information when it changes
• False information may result in service denial or account termination

Our Ownership:

• Spencer Brook Strings owns all rights, title, and interest in the Service
• Our website design, software, content, trademarks, and trade names are protected
• No rights are granted to you except as explicitly stated in this Agreement

Your Content:

• You retain ownership of information you submit through the Service
• You grant us a license to use your information to provide our services
• You represent that you have the right to submit all information you provide

Third-Party Content:

• The Service may include content from third parties
• Third-party content is subject to the respective owners’ rights and terms

Availability:

• All fees are non-refundable except as specified in our rental agreements
• You authorize us to charge your payment method for applicable fees

Billing Information:

• You must provide accurate billing information
• You are responsible for keeping payment information current
• Failed payments may result in service suspension

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• The Service is provided “AS IS” without warranties of any kind
• We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose
• We are not liable for any indirect, incidental, special, or consequential damages
• Our total liability shall not exceed the amount you paid for services in the 12 months preceding the claim
• Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you

You agree to defend, indemnify, and hold harmless Spencer Brook Strings, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from:

• Your use of the Service
• Your violation of this Agreement
• Your violation of any rights of another party
• Your submission of false or misleading information

Termination by You:

• You may stop using the Service at any time
• Account closure does not relieve you of payment obligations for services already received

Termination by Us:

• We may suspend or terminate your access for violations of this Agreement
• We may terminate the Service entirely with reasonable notice
• We reserve the right to refuse service to anyone for any reason

Effect of Termination:

• All licenses granted to you immediately cease
• You must stop using the Service
• Survival clauses remain in effect (payment obligations, liability limitations, etc.)

Governing Law:

• This Agreement is governed by the laws of Massachusetts, United States
• Any disputes will be resolved in the courts of Massachusetts

Informal Resolution:

• Before filing legal action, you agree to contact us to attempt resolution
• We will work in good faith to resolve disputes informally

Entire Agreement:

• This Agreement, together with our Privacy Policy and rental terms, constitutes the complete agreement between you and Spencer Brook Strings

Severability:

• If any provision is found unenforceable, the remainder of the Agreement remains in effect

No Waiver:

• Our failure to enforce any provision does not waive our right to enforce it later

Assignment:

• You may not assign this Agreement without our written consent
• We may assign this Agreement at any time

Updates to Agreement:

• We may update this Agreement from time to time
• Material changes will be posted on our website with an updated effective date
• Continued use after changes constitutes acceptance
